Reopening documented family arrangements after ownership transfers and board changes without a legally sustainable basis could unsettle promoter control and work against the interests of minority shareholders, said proxy advisory firm InGovern Research Services in the context of ongoing developments at TVS Holdings and TVS Motor Company.

In a report on the succession matter within the Venu Srinivasan family, the proxy advisor said such a step could create uncertainty around promoter control, management leadership, brand use and strategic direction, adding that these outcomes are contrary to minority-shareholder interests.

Earlier this month, Venu Srinivasan, Chairman Emeritus, TVS Motor said he had separated his personal assets and the family’s businesses openly and transparently.

A day later, his wife Mallika Srinivasan, Chairman and Managing Director of tractor maker TAFE, and daughter Lakshmi Venu issued a joint statement saying no economic settlement had been reached within the Venu Srinivasan family.

At the centre of the dispute is a MoU executed in March 2024 by Venu Srinivasan, Mallika Srinivasan, Lakshmi Venu and Sudarshan Venu, which TVS Holdings subsequently disclosed to the National Stock Exchange.

The filing had stated the MoU did not adversely impact the company’s business.

Under its disclosed terms, Sudarshan Venu agreed not to use the TVS brand in certain businesses, including aluminium and magnesium die castings, and not to compete in agricultural machinery for a defined period, while Mallika Srinivasan and Lakshmi Venu agreed to similar restrictions covering two-wheelers, three-wheelers, financial services and real estate.

Venu Srinivasan has maintained that the allocation between his two children was fair and equitable with reference to December 10, 2020, the date of the broader TVS Group family settlement.

InGovern, which said it does not adjudicate the private claims, observed that “a documented family arrangement should not be reopened merely because relative business values have changed after the relevant reference date.”

InGovern’s report pointed out that succession has progressed through visible corporate processes. VS Trust is the disclosed promoter of TVS Holdings, and in April 2025 Venu Srinivasan contributed 13,73,347 TVS Holdings shares (representing 6.79 per cent of its equity capital), to the trust.

Sudarshan Venu, disclosed as a significant beneficial owner, was approved as Managing Director of TVS Holdings by shareholders through a postal ballot and took over as Chairman and Managing Director of TVS Motor in August 2025. Lakshmi Venu continues as Managing Director of Sundaram-Clayton.

InGovern said the numbers do not settle a private family dispute but noted that “the performance record supports continuity.”

InGovern said any differences over the MoU should be resolved in line with its terms, the underlying trust arrangements and applicable law rather than through public statements, and that the listed entities should assess whether recent developments call for fresh disclosure.
